Pre-Event process and timelines. Fintech Meetup will provide you with clear guidelines and instructions on the inputs required from you (and associated deadlines) preceding the Event as part of the Meetings Program. These inputs and timelines are needed in order to ensure that you and other Meetings Program participants have the best experience. Failure to provide inputs on a timely basis will result in a sub-optimal experience for you at the Meetings Program and may result in your inability to participate in the Meetings Program. Fintech Meetup takes no responsibility for failure to follow these guidelines resulting in a sub-optimal experience.","
Meetings. All meetings that Fintech Meetup schedules are double opt-in (both participants must express interest in meeting each other) and subject to (1) the onsite availability indicated by participants, (2) interest levels, and (3) other scheduling factors. Fintech Meetup does not guarantee that participants will receive meetings.","
Logo. You will be able to upload and edit your organization's logo, for use prior to, during and following the event. We reserve the right to update, change or edit the logo for operational or technical reasons.","
Prohibited Conduct.- Limitations on Use. You agree not to share, transfer, sell or trade your Meeting Program login credentials other than explicitly permitted by us in writing on our Website or otherwise. If you violate this policy, in addition to our other remedies available under applicable law, we may cancel your participation in the Meetings Program and/or the Event.
- Confidential Information: Individuals from your organization who participate in any element of the Meetings Program (including during the event, the pre-event process and any post-event actions) are required to follow the Guidelines provided by us. Participant lists shared as part of these programs shall be deemed to be Fintech Meetup, LLC's Confidential Information (as defined below) and are provided solely for your internal use to assist your participation in these programs. For the avoidance of doubt, participant lists should not be (1) shared with anyone else, (2) downloaded, or (3) used other than as described by us. Based on information received as part of Fintech Meetup, individuals from your organization cannot solicit participants (including individuals they are scheduled to meet prior to your meetings) outside of the event other than as we permit. If individuals from your organization breach this provision, your organization may be eliminated from further participation with no refund and blacklisted from future events.
- Denial of Access. We reserve the right to deny access to the Meetings Program to any person for any reason or no reason at all.

However, Exhibitor acknowledges and agrees that Fintech Meetup cannot guarantee availability of any preferred exhibit space. Fintech Meetup reserves the right to assign, or relocate, exhibit areas or reconfigure the exhibition area for the betterment of the Event or otherwise in its sole discretion with no liability to you provided the exhibit area continues to be similar to the exhibit area as originally presented to the Exhibitor. Without limiting any of the foregoing, exhibit space assignments may be revoked by Fintech Meetup at any time, including onsite during the Event, upon breach of the terms and conditions of this Agreement. Exhibit space assignment shall be conditional on payment in full of all amounts due hereunder or under any other contract with Fintech Meetup. The exhibit space assigned to Exhibitor is for the use of the named Exhibitor only. Exhibit space sharing in whole or in part with any third party is expressly prohibited."]}]},"operationOfExhibits":{"title":"Operation of Exhibits:","list":[{"listContent":["Displays in exhibit spaces must be designed and operated in a manner that respects the rights of other Exhibitors and attendees. Displays shall not (x) block or obstruct the view of or (y) create noise or other disturbance for a neighboring or other Exhibitor. All lighting within the exhibit space must be arranged and operated so as not to be distracting to adjacent Exhibitors. Exhibitor, together with any employee, agent or independent contractor of Exhibitor, will conduct itself/himself/herself in a manner lending proper dignity, decorum and professionalism to the Event. Fintech Meetup may, in its sole discretion, remove Exhibitor, or any employee, agent or independent contractor of Exhibitor, from the premises for behavior that Fintech Meetup determines in its sole discretion to be inappropriate. Without limiting the foregoing, the following activities are expressly prohibited in exhibit spaces: preparation of food or beverages, promotional contests that require physical skill, unauthorized taking of photographs, derogatory advertisements of other Exhibitors, competitive or like-mannered businesses, or activities (including, but not limited to, materials promoting Exhibitor's attendance at the Event) which would be deemed inaccurate, defamatory, abusive, profane or offensive by a reasonable person. Exhibitor warrants to Fintech Meetup that it is legally entitled by ownership or license to use the items exhibited or materials relating to the activities carried out in exhibit space, and that the same shall not infringe the rights of any third party, or otherwise be unlawful, or be detrimental to Fintech Meetup or its general commercial interests. Exhibitor indemnifies Fintech Meetup against all costs, expenses, damages, claims, losses and liabilities suffered or incurred by Fintech Meetup as a result of the Exhibitor carrying out any of the aforementioned prohibited activities or breaching the aforementioned warranty. Fintech Meetup reserves the right, in its sole discretion, to exclude the showing of any products in the exhibit area that are deemed objectionable. Exhibitor is responsible for payment of fees, royalties or fines for use of any third-party work that is protected by copyright, patent or trademark. Exhibit space must be staffed by at least one member of the Exhibitor's employees at all times during scheduled exhibit hours. Unless prior written permission is received from Fintech Meetup, all Exhibitor personnel must be 21 years of age or older. Exhibitor personnel must be dressed appropriately and confine their activities on behalf of Exhibitor to the exhibit space of Exhibitor. Any food or beverage that is distributed at exhibit spaces may be subject to additional fees from the Event venue. Distribution of certain food and beverage items may be prohibited and advance approval is required. Operation of exhibit spaces is subject to any applicable rules and regulations of the Event venue and Exhibitor hereby acknowledges and agrees with the terms thereof, a copy of which has been made available to Exhibitor. The Exhibitor shall ensure that the exhibit space is left in good order and in a clean condition at the end of the Event and in accordance with the aforementioned rules and regulations, provided that in the event of any failure to do so, Fintech Meetup may elect to carry out these obligations and has sole discretion to dispose of any items remaining at the exhibit space and Exhibitor shall be liable to Fintech Meetup for any costs so incurred in doing so."]}]},"termsOfPayment":{"title":"Terms of Payment:","list":[{"listContent":["Payment of the Exhibit Fee is due in accordance with and as stated in the applicable invoice sent by Fintech Meetup to Exhibitor."]}]},"cancellationByExhibitor":{"title":"Cancellation by Exhibitor:","list":[{"listContent":["Exhibitor acknowledges and agrees that actual occupancy of the exhibit space reserved by the Exhibitor is of the essence of this Agreement during and throughout the Event. In the event that Exhibitor does not occupy its allocated exhibit space by the opening time on the first day of the Event, Fintech Meetup may occupy, re-allocate to a third party or cause said space to be occupied in its sole discretion without in any way releasing the Exhibitor from any liability hereunder. Furthermore, if Exhibitor does not occupy and staff its allocated exhibit space in accordance with the terms of this Agreement, all rights of Exhibitor to such exhibit space shall terminate and Exhibitor shall be obliged to pay the full Exhibit Fee, with any outstanding sums payable by the Exhibitor within fourteen (14) days. Exhibitor acknowledges and agrees that Fintech Meetup will likely sustain losses if Exhibitor cancels its commitment for some or all of its assigned exhibit space. Accordingly, Exhibitor shall forfeit the full amount of its Exhibit Fee in the event that Exhibitor cancels its commitment for some or all of its assigned exhibit space. Each party acknowledges and agrees, after taking into account the terms of this Agreement and all relevant circumstances at the date hereof, that the forfeiting of such Exhibit Fee represents a reasonable and genuine pre-estimate of the damages which would be suffered by Fintech Meetup in the event of Exhibitor's cancellation and does not constitute a penalty. In addition, any fees included within the Exhibit Fee (or any sponsorship fee) for any attendees of Exhibitor who do not attend the Event, for any reason, are not reimbursable, in whole or in part."]}]},"cancellationOfExhibitSpaceByFintechMeetup":{"title":"Cancellation of Exhibit Space by Fintech Meetup:","list":[{"listContent":["Exhibit space may be canceled by Fintech Meetup for failure to make payments when due or failure by Exhibitor to comply with the applicable terms and conditions of this Agreement. In addition, Fintech Meetup and/or the Event venue shall not be held responsible for, and Exhibitor shall defend and hold Fintech Meetup and/or the Event venue harmless from, any claim or damage resulting from the loss of lighting, air conditioning, electricity, water, gas, heating, or other utilities, facilities or services not caused by the intentional wrongful act of Fintech Meetup an/or the Event venue. Fintech Meetup reserves the right to assume the exclusive defense and control of any matter subject to indemnification by Exhibitor, which action shall not be deemed to excuse Exhibitor's indemnification obligations hereunder."]}]},"complianceWithLaws":{"title":"Compliance with Laws:","list":[{"listContent":["Exhibitor must be in full compliance with all applicable laws and regulations, including, without limitation, the Americans with Disabilities Act, Bribery Act 2010 and the Foreign Corrupt Practices Act 1977. Exhibitor indemnifies Fintech Meetup against all costs, expenses, damages, claims, losses and liabilities suffered or incurred by Fintech Meetup as a result of the Exhibitor breaching this Section 14."]}]},"forceMajeure":{"title":"Force Majeure:","list":[{"listContent":["Fintech Meetup shall not be liable for any performance delay or failure, loss, or damage due to any event or series of connected events outside its reasonable control including without limitation fire, explosion, power blackout, earthquake, flood, storm, tsunami, volcanic ashcloud, extreme adverse weather conditions, pandemic, strikes or other industrial disputes, failure of a utility service or transport network, cyber-attacks, malicious acts of third parties, breakdown of plant or machinery, embargo, labor disputes, acts, omissions or failures of vendors, suppliers or independent contractors outside the control of Fintech Meetup, acts of terrorism, acts of civil or military authority, acts of regulatory or governmental authorities, acts of God, or other similar events (each such event, a
Force Majeure Event). Fintech Meetup's performance under this Agreement shall be deemed to be suspended for the period that a Force Majeure Event continues, and Exhibitor agrees that Fintech Meetup may have an extension of time for performance for the duration of that period, including where appropriate by an extension to the Term. Fintech Meetup will use commercially reasonable efforts to find a solution by which its obligations under this Agreement may be performed despite the Force Majeure Event. Exhibitor shall provide Fintech Meetup with samples of the Exhibitor Marks in a suitable format within five days of this Agreement being entered into (or within one day where this Agreement is entered into less than ten days before the start of the Event). Any changes to the Exhibitor Marks for subsequent Events shall be notified to Fintech Meetup no later than ten days before the start of the Event.","Fintech Meetup grants to Exhibitor a non-transferable, non-exclusive, royalty free license to use the Fintech Meetup logos and trademarks (the
\"Fintech Meetup Marks\"), during the Term, solely to promote Exhibitors attendance at the Event. No single or partial exercise of such right or remedy shall preclude or restrict the further exercise of that or any other right or remedy. No amendment or alteration of the terms of this Agreement shall be valid unless made in a writing signed by each of the parties hereto and specifically referencing this Agreement. The holding of any provision of this Agreement to be invalid or unenforceable by a court of competent jurisdiction shall not affect any other provision of this Agreement, which shall remain in full force and effect. Fintech Meetup's liability in connection with this Agreement will not exceed the amounts paid by Exhibitor under this Agreement. Fintech Meetup, its employees, representatives and agents shall not be liable to Exhibitor or any third party for any indirect, incidental, special, punitive, or consequential damages, even if advised of the possibility of such damages. Any cause of action of Exhibitor against Fintech Meetup in connection with this Agreement must be commenced within six (6) months after the completion of the Event or Exhibitor shall be deemed to have released such claim and it shall be barred, notwithstanding any provision of any statute of limitations to the contrary."]}]}}},"hostedTermsAndConditions":{"title":"Terms and Conditions for Hosted Banks & Credit Unions

Free Tickets & Travel Allowance: Fintech Meetup will provide qualifying individuals from banks, credit unions, CUSOs, retailers and merchants who participate in Hosted Meetings as part of Fintech Meetup's Meetings Program with a complimentary Fintech Meetup ticket and a travel/hotel reimbursement of up to $750 in travel/hotel expenses incurred per person."]},{"mainList":["
Qualifications: Hosted Banks & Credit Unions: To qualify, individuals must (a) be employed by (i) any FDIC registered bank, (ii) Credit Union registered with the National Credit Union Administration, or (iii) Credit Union Service Organization (CUSO) registered with the National Credit Union Administration, and (b) be responsible for buying or evaluating payments, banking, lending, credit, personal finance, investing or other applicable technology and solutions for their organizations, and (c) take up to eight (8) 15-minute onsite meetings with participating sponsors (\"Hosted Meetings\"), which are based on a double opt-in process so that they are useful to everyone."]},{"mainList":["

Non-Hosted Meetings: If they choose to, qualifying individuals can also participate in meetings that are not Hosted Meetings (\"Non-Hosted Meetings\") with individuals (including those that are not from sponsors) participating in the meetings programs. Meeting Times: You commit to being available for at least 16 Meeting Time Slots during Meeting Times as set forth below until you receive your final schedule immediately prior to the event. You will not need to miss any agenda sessions for these meetings.

Travel Arrangements: You are responsible for making your own travel and accommodation arrangements to attend Fintech Meetup. You can book an onsite hotel room in our dedicated room block at the Venetian. Rooms (including any cancellation fees or deposits) are not refundable if canceled less than 72 hours of your arrival date. We do not guarantee the availability of our hotel room block, and recommend you book early."]},{"mainList":["
Meetings Program Participation: We will contact you prior to Fintech Meetup to arrange your Hosted Meetings using our Fintech Meetup platform. You agree to participate in this process, including (a) completing a short profile with questions about your company and job role, (b) participating in a double opt-in process to select individuals from participating sponsors for potential meetings (and other individuals if you want to request non-hosted meetings), and (c) accepting meetings and adding meetings to your calendar. Following Fintech Meetup, you agree to provide post-event feedback on the Meetings Program and each Hosted Meeting and to provide receipts for expenses. You agree to respond to all of our requests within our stated deadlines. Nonresponsiveness to our deadlines and outreach to you may result in you being placed on a blacklist that will prevent you (and potentially your organization) from qualifying as a Hosted Bank & Credit Union or Hosted Retailer & Merchant for one or more future years."]},{"mainList":["
Completing Your Own Hosted Meetings: We do not entertain requests to combine Hosted Meetings with other individuals from your organization that might also be participating in the Meetings Program. If more than one person from your organization is attending Fintech Meetup as a Hosted Bank & Credit Union or Hosted Retailer & Merchant, each person must complete their own set of up to eight (8) Hosted Meetings. If you are unable to attend your Hosted Meetings for any reason, you will not be eligible to receive a travel/hotel reimbursement or complimentary Fintech Meetup ticket."]},{"mainList":["
Failure to Complete Hosted Meetings: If you pick up your Fintech Meetup badge onsite or otherwise attend Fintech Meetup but do not complete your scheduled Hosted Meetings: (a) we will not be responsible for any costs associated with your travel or hotel and you will not receive any reimbursement, (b) your credit card will be charged $1,995 for your Fintech Meetup ticket per the authorization you agree to below, and (c) you may also be placed on a blacklist that will prevent you (and potentially your organization) from qualifying for Hosted Banks & Credit Unions or Hosted Retailers & Merchants tickets for one or more future years. Notwithstanding the foregoing, we reserve the right at our sole discretion to prorate your ticket fee and/or your travel/hotel reimbursement calculated based on the total Hosted Meetings for which you were scheduled and that you completed."]},{"mainList":["
Cancellation & Substitutes: If you are approved for a Hosted Banks & Credit Unions or Hosted Retailers & Merchants ticket but become unable to participate even though you are still with your organization, you agree to suggest one or more substitutes from your organization as your replacement. Acceptance of any substitute is subject to our prior approval via email. If you cancel your participation and are not able to provide a substitute approved by us, this may result in you being placed on a blacklist that will prevent you from qualifying for Hosted Banks & Credit Unions or Hosted Retailers & Merchants tickets for one or more future years."]},{"mainList":["
Notice of Employment Change: If you (a) are no longer employed by, or (b) become aware prior to Fintech Meetup that you will no longer be employed at the time of Fintech Meetup or after Fintech Meetup by the bank, credit union, CUSO, retailer or merchant based upon which you were approved for your Hosted Banks & Credit Unions or Hosted Retailers & Merchants ticket, you must let us know immediately upon your becoming aware so that we can cancel your participation in Hosted Meetings. In such cases, you will no longer be eligible to participate in Hosted Meetings or to receive a travel/hotel reimbursement or complimentary Fintech Meetup ticket. Failure to notify us may result in you being placed on a blacklist that will prevent you from qualifying for Hosted Banks & Credit Unions or Hosted Retailers & Merchants tickets for one or more future years. At all times, including following Fintech Meetup, we reserve the right to only communicate with you at your work email address regardless of any other email address you may have provided or we may have otherwise used."]},{"mainList":["
Reimbursement Process: As the final step to receiving your travel and hotel reimbursement of up to $750 in travel/hotel expenses incurred, we require that you complete a short feedback form providing specific evaluations of each Hosted Meeting (we will also ask participating individuals from sponsors to provide feedback on their meetings with you). Please note that Fintech Meetup will not reimburse for any mileage, points or rewards used for travel. Reimbursement is conditioned upon completing all of your scheduled meetings and submitting the feedback survey and travel/hotel receipts following the event within our stated deadlines."]},{"mainList":["
Credit Card Details: You agree to provide your credit card information, and authorize us to process a $1 charge on your credit card as part of your Fintech Meetup ticket registration.
